WaveOn Health Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into between WaveOn Health. (“WaveOn”) and the undersigned Athletic Trainer (“Affiliate”) and becomes effective on the date signed.

1. Purpose

This Agreement allows the Affiliate to introduce sports organizations, athletic trainers, and related professionals to WaveOn Health.

In return, the Affiliate may earn referral incentives according to the WaveOn Health Athletic Trainer Affiliate Program, as updated from time to time.

The purpose of this program is to help expand access to athletic training services and improve athlete care through responsible introductions and professional collaboration.

2. Independent Relationship

Affiliate participates as an independent contractor, not an employee, agent, or representative of WaveOn Health.

Affiliate is responsible for all taxes, insurance, and professional obligations related to any compensation received.

Participation in the Affiliate Program does not create an employment, partnership, or agency relationship with WaveOn Health.

3. Affiliate Activities

Affiliate may:

• Make warm introductions to sports organizations, athletic directors, leagues, and athletic trainers

• Share approved WaveOn Health materials and information

• Facilitate introductory conversations, demos, or informational calls

• Use their unique affiliate link to introduce organizations or professionals to WaveOn Health

Affiliate may not:

• Represent themselves as an employee or agent of WaveOn

• Negotiate pricing, services, or contracts on WaveOn’s behalf

• Bind WaveOn to any agreement or commitment

• Misrepresent WaveOn services, offerings, or capabilities

All proposals, pricing, and contracts are issued solely by WaveOn Health.

4. Professional Representation

Affiliates agree to represent WaveOn Health in a professional, accurate, and positive manner.

Affiliates must not make misleading, exaggerated, or unauthorized claims regarding WaveOn services, pricing, or capabilities.

WaveOn may provide approved materials and messaging that Affiliates are encouraged to use when sharing information about the platform.

5. Referral Submission & Ownership

To qualify for incentives:

• Referrals must be submitted through the official WaveOn referral process or affiliate tracking link

• The referred contact must consent to the introduction

• The initial demo call must be scheduled through the official WaveOn scheduling link and include both the referred contact and the Affiliate, with confirmed attendance from both parties.

• Confirm the organization received the proposal from WaveOn Health after it has been sent.

• The referred and approved athletic trainer who delivers services through WaveOn or its channel partners.

• WaveOn must verify the referral as a new opportunity

Only the first verified referral per organization will be eligible for incentives.

WaveOn reserves the right to determine referral eligibility and ownership if multiple introductions occur.

6. Compensation

Affiliate may receive incentives as outlined in the WaveOn Health Athletic Trainer Affiliate Program, which may include:

• Demo completion bonuses

• Athletic Trainer referral rewards

• Affiliate commissions when schools sign service agreements

Payments are typically issued monthly within fifteen (15) business days after month end, subject to verification of milestones.

WaveOn may modify incentive structures at any time with reasonable notice.

7. Affiliate Link Usage

Affiliates may receive a unique referral or affiliate link used to track introductions and referrals.

Affiliates agree to use their link responsibly and only for legitimate introductions.

WaveOn is not responsible for referrals that cannot be verified through the official referral or affiliate tracking system.

8. Non-Circumvention

• Affiliate agrees not to bypass WaveOn by directly offering competing services or arranging separate agreements with organizations introduced to WaveOn through this program.

• Any services provided to referred organizations related to WaveOn’s offerings must be coordinated through WaveOn.

9. Compliance & Professional Standards

Affiliate agrees to:

• Maintain all required athletic training licenses and certifications (if applicable)

• Remain in good professional standing

• Follow all applicable laws, regulations, and professional standards

• Avoid making unauthorized or misleading statements about WaveOn services

10. Confidentiality

Affiliate agrees to keep confidential any non-public information related to WaveOn Health, its clients, pricing, or operations.

Confidential information may not be shared without written permission from WaveOn.

11. Affiliate Activity Requirements

To remain active in the WaveOn Affiliate Program, Affiliates must generate at least one qualifying commission within twelve (12) months of enrollment.

Affiliates who do not generate a qualifying referral within this time period may be deactivated from the program.

Inactive affiliates may reapply at a later time.

12. Term & Termination

This Agreement remains active until terminated by either party.

WaveOn Health reserves the right to terminate or suspend an affiliate’s participation at its discretion, including but not limited to:

• Violation of this Agreement

• Misrepresentation of WaveOn services

• Unprofessional conduct

• Misuse of the affiliate program

Approved compensation earned prior to termination will be paid according to program terms.

13. Governing Law

This Agreement shall be governed by the laws of the state in which WaveOn Health is incorporated.

14. Acceptance

By signing the affiliate sign up form, the Affiliate agrees to the terms of this Agreement and the current WaveOn Health Athletic Trainer Affiliate Program.
